Zikbit, Inc. closes $8M financing round

• Despite the growing financial and credit crisis, our client, ZikBit, Inc., which is designing a cost and power-saving memory processor for mobile devices,
  closed an $8,000,000 financing round with leading Israel/U.S. venture capital funds in the fourth quarter of 2008.
  We have been representing ZikBit, Inc. since its inception.

CA Acquires IDFocus

• We represented our long standing client, IDFocus LLC, in its acquisition by New York-based CA, Inc. (NASDAQ: CA), a global IT management software company. The transaction, which closed in December 2008, will help CA deliver a robust and powerful identity management solution that will help customers increase business efficiency, meet compliance demands, and effectively manage employees' and partners' identity lifecycles.
  We have represented IDFocus on all aspects of its legal/commercial needs for several years.

ICAP Acquires Traiana

• Advice to our longstanding client, Traiana, Inc., in connection with its acquisition by London-based inter-dealer broker ICAP plc for $247 million.   We have been working with Traiana on all aspects of its legal/commercial needs since its early start-up stage. We continue to work with Traiana following its acquisition by ICAP

Ormat Raises Over $187 Million

• Our client, Ormat Technologies, Inc. (NYSE: ORA), a global player in the geothermal and recovered energy power business, raised over $187 million from the sale of 3 million shares to Lehman Brothers and from the unregistered sale of over 1 million shares to its parent.  We continue to work with Ormat on its reporting obligations to the United States Securities and Exchange Commission and New York Stock Exchange.

Ten (10) Small Business Issuers Launch Initial Public Offerings

• We represented 10 small business issuers in their successful launches of IPO's through small business registration statements that the United States Securities and Exchange Commission declared effective in 2007 and 2008.  

Representation of Venture Capital Funds in their Investments

• We continued working with leading venture capital funds, including Cedar, Genesis, Giza and Veritas, in their initial and follow-on investments in various start-up companies.

           
Work with Entrepreneurs and Emerging Companies

• We guided numerous start-up companies from formation to pre-seed/early stage investment in 2007 and 2008.
