Representative Transactions

> CLS/ICAP/Traiana Joint Venture for Global FX Markets

Representation of our longstanding client, Traiana, Inc., a wholly owned subsidiary of London-based inter-dealer broker ICAP plc, in connection with their entry into a joint venture with CLS Group, the global industry standard for FX settlement services.  The joint venture company, CLS Aggregation Services, will provide trade aggregation services to participants active in the over-the-counter FX market.  We have represented Traiana since its inception.

> ICAP Acquisition of Traiana

Representation of our longstanding client, Traiana, Inc., in connection with its acquisition by London-based inter-dealer broker ICAP plc for $247 million.

> Omniture/Adobe Representation

We continue to provide legal services to Omniture/Adobe following the acquisition of Omniture, Inc. by Adobe Systems Incorporated (Nasdaq: ADBE) in October 2009.  Our representation began with Mercado ESN, Inc., whose assets were acquired by Omniture, Inc. in October 2008.  Following Adobe’s acquisition of Omniture, we have been working with the Omniture/Adobe U.S. and Omniture/Adobe EMEA legal/sales teams.

> CA Acquisition of IDFocus

Representation of our long standing client, IDFocus LLC, in its acquisition by New York-based CA, Inc. (NASDAQ: CA), a global IT management software company. The transaction, which closed in October 2008, will help CA deliver a robust and powerful identity management solution that will help customers increase business efficiency, meet compliance demands, and effectively manage employees' and partners' identity lifecycles. We have represented IDFocus on all aspects of its legal/commercial needs for several years.

> Financing Transactions

Representation of numerous companies and investors in financing and venture capital transactions, including the following: our client, ZikBit, Inc., a designer of cost and power-saving memory processor for mobile devices, in an $8,000,000 financing round with leading Israel/U.S. venture capital funds; our client MabCure Inc., a developer of novel diagnostics for the early detection of cancer, in several capital raising transactions; and our client Neonode Inc., a developer of optical finger-based touch screen technology, in several convertible loan transactions. In addition, we have represented many private and institutional investors in connection with their initial and follow-on investments in various start-up companies.

We continue to represent Ormat Technologies Inc. (NYSE: ORA) and several other public companies and assist them with the preparation of their annual, periodic, and current reports filed with the SEC.
